General Corporate
We can assist our clients on general matters such as the incorporation of companies in Cyprus or other jurisdictions as well as the management of these. We also provide advice on a wide range of corporate matters such as changes to ownership/management and ordinary trading, restructuring and financing. We can also advise on Limited Liability Partnerships (LLP’s) and related agreements and legislation. We have extensive experience with shareholder agreements and disputes, joint ventures, debt and security arrangements, share re-organisations and buybacks and corporate governance and directors’ duties.
Mergers and acquisitions
We can advise on the sale and purchase of businesses, shares or assets in a wide range of sectors. We can get involved at any stage in the deal process: from heads of terms through due diligence, contractual negotiation and drafting, dealing with financing/security issues and completion. We can review and advise on the level of contractual protection that would be appropriate given the size of the transaction. We aim to keep costs to a reasonable level while properly managing risk.Private equity/venture capital
We can advise on the full spectrum of private equity and venture capital work, from seed and series A investment rounds, growth equity investments and new acquisitions through to portfolio company exits. We act for sponsors, growth companies and management teams and seek to add value in the life cycle of the growth company from inception to exit.We can advise our clients on a wide range of legal and practical issues arising from the operation and development of their businesses. Anthea handles corporate and commercial law matters. She also has expertise in advising in the planning, establishment and administration of both Cyprus and international trusts and companies.
Anthea has been a member of the Cyprus Bar Association since 2004 and is a member of the Society of Trust and Estate Practitioners (STEP). She obtained her Bachelor of Laws with Honours from King’s College London and has gone on to earn an MBA at the Cyprus International Institute of Management.
Aris is a Cyprus qualified lawyer with over 15 years experience on corporate matters such as M&A, shareholders agreements and disputes. He has substantial general counsel experience in FMCG and professional service companies. He has an LLB from Exeter University and an Executive MBA from Oxford University.
Evgenia is a Russian Legal Consultant with over 15 years advising clients from the CIS region on the establishment and administration of Cyprus-based companies and structures.
